Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Orca IDE ("Service"), provided by Lovecast Inc. ("we", "our", or "us"). By downloading, installing, or using the Service, you agree to be bound by these Terms.
1. License and Open Source
The Orca application is made available under the MIT License. Your use of the source code and the application is subject to the terms of the MIT License, which permits use, copying, modification, merging, publishing, distribution, sublicensing, and/or selling copies of the Software, subject to the conditions stated in the MIT License.
2. Use of the Service
Orca is a tool designed to help you run and manage AI coding agents locally. You are solely responsible for:
- Your interactions with any third-party AI agents or APIs (e.g., Anthropic, OpenAI) that you connect to or use through Orca.
- Complying with the respective terms of service of those third-party providers.
- The code, content, or modifications generated by the agents you run via Orca.
3. Disclaimers
THE SERVICE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
4. Limitation of Liability
To the maximum extent permitted by applicable law, Lovecast Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service.
5. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
6. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
